Your continued use of the Site after any such change whether or not you received an email from us in respect of such change, constitutes your acceptance of the new terms and conditions.
We reserve the right, at our sole and absolute discretion, to make changes to the Site and levels of service offered and to terminate access to the same at any time. Please note that the usage and purchase terms and privacy policies of our products and services within this Site or linked to this Site may be subject to more specific terms and policies. For the purposes of this policy, “Educational purposes” denotes non-commercial uses exclusively by educational institutions that have formally adopted our materials. Purchase Terms (the “Purchase T&C”)
Please refer to the Purchase T&C which are the terms and conditions applicable to your purchase of any of our products, subscriptions or services. By making your order of our products or services through the Site or other third-party platforms, you agree to be bound by and accept the Purchase T&C which shall be subject to change from time to time in our sole discretion. Please read it carefully each time before you make a purchase.
Members’ Data and Account Security
When you register as a member of the Site, you are asked to provide personal information as set out in the registration form. You must provide accurate personal information and update the same as necessary so as to maintain their accuracy. You must keep your username and password confidential and you agree not to make available your username and/or password to anyone.
If there has been a disclosure of your username and/or password, or unauthorised use of your personal information and/or account, you agree to notify us immediately of such incident. We will not be liable for any losses arising out of any unauthorised use of your personal information and/or account and you agree to indemnify and hold harmless UPEP for any unauthorised uses of your account.

Any personal information or other information you provide to us as part of our registration process will be treated as confidential and in accordance with privacy policy. By using the Site, you consent to have your personal data transferred to and processed by us in accordance with our privacy policy which forms part of these Terms.
User Conduct
The Site and all its features, whether or not requiring registration, are available for your personal and non-commercial use only. You represent that no materials of any kind submitted to the Site or otherwise posted, transmitted or shared by you will violate or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights or contain libellous, defamatory, unlawful, obscene or otherwise harmful materials. You agree to abide by all applicable laws and regulations and are solely responsible for all your acts or omissions and for all those that occur under your account.
Portions of the Site may allow you to post and share your own materials. By submitting any material to us you agree to abide by the following rules. We reserve the right to review, edit or remove materials or information which is posted on any part of the Site, any bulletin boards, discussion forums or any tools available on the Site allowing you to post comments, material, views, reviews on materials posted by you, us or others or to interact with others or materials in any way (the “Interactive Areas”) and on any part of the Site requiring registration or subscription allowing you to do any of the above.
Materials posted by users are not the statements and opinions of UPEP and do not reflect the view of UPEP. UPEP expressly disclaims any responsibility or liability for materials posted and shared by users through the Site.
By posting your comments or materials on the Interactive Areas, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, world-wide licence to use, reproduce, modify, adapt, translate, publish, make available, distribute, include in other works, sub-license and display any content you submit to us in any format now known or later developed.
If you do not want to grant us these rights, please do not submit your comments or materials to us.
Please be reminded that we will identify you with content you submitted and may release that information to a court or other official if we are so ordered.
We may, in our sole discretion, refuse to grant you a username that impersonates someone else, is or may infringe upon the intellectual property rights of third parties, is vulgar, offensive or otherwise inappropriate.
Automated Access & AI Restrictions
You agree not to use any robot, spider, scraper, crawler, or other automated means (including but not limited to artificial intelligence tools, machine learning models, or data extraction algorithms) to:
- Access, collect, or replicate any content, data, or metadata from the Services without our prior written permission;
- Train AI systems (e.g., LLMs, generative models) using materials from our Services;
- Create derivative datasets for commercial or non-commercial purposes.
Explicit Prohibitions Include:
- Web scraping, screen scraping, or automated content aggregation.
- Using UPEPHK’s content to train, fine-tune, or benchmark AI/ML models.
- Reverse engineering, decompiling, or extracting source code or APIs.
Exceptions:
- Publicly available search engine indexing (per standard robots.txt protocols).
- Pre-authorized integrations via UPEPHK’s official API (if applicable).
Remedies: Violations may result in immediate termination of access, legal action, and liability for damages under Hong Kong SAR laws (including but not limited to the Copyright Ordinance and Prevention of Spam Ordinance).
Disclaimers
UPEP makes no warranties or representations of any kind concerning the accuracy and completeness of the information contained on the Site for any purpose and all such information is provided on an “as is” basis.
We do not limit or exclude any liability for death or personal injury caused by our negligence, or liability for fraud, or any other liability that we cannot exclude by law.
The exclusions of liabilities set out in these Terms only apply to the extent permitted by laws.
UPEP disclaims any responsibility for the content on any website linked to the Site. The links to other websites are provided “as is” with no warranty, whether express or implied, for the information provided within them.
In addition, the links to other websites are provided for information only and UPEP does not endorse such websites. UPEP has no control over the nature, content and availability of those websites, and expressly disclaims liabilities in connection therewith.
Indemnity
You agree to indemnify, defend, and hold harmless UPEP, including its employees, agents, officers, directors, contractors, suppliers, and other representatives, from and against any liabilities, damages, claims, actions, costs, and expenses (including legal fees) arising from your breach of these Terms of Use or your use of the website.
UPEP reserves the right to participate in the defense and settlement of any claim or legal proceeding where necessary. You may not enter into any settlement that may adversely affect UPEP’s rights or obligations without our prior written consent.
We further reserve the right, upon notice to you, to assume full control and defense of any claim or proceeding at our own expense.
Termination
UPEP reserves the right, at its sole discretion, to suspend the website for maintenance, upgrades, or modifications, and/or to restrict your access to the website if deemed reasonably necessary for its operation. UPEP shall not be liable for any loss or damage you may incur due to such suspension or restriction.
UPEP may terminate or suspend the Services at any time without prior notice, for reasons including but not limited to breach of these Terms, legal requirements, or business decisions. Upon termination, you will no longer have access to any content, and we shall not be responsible for any data loss. You may terminate your account at any time. However, any provisions intended to survive termination—such as those relating to intellectual property and limitation of liability—will remain in effect. If we determines that you have violated these Terms, it reserves the right to suspend or terminate your access to the website without notice. UPEP’s failure to act in response to a breach does not constitute a waiver of any rights, all of which are expressly reserved. UPEP also reserves the right to deactivate user accounts and usernames that have been inactive for a continuous period of 180 days.
General Terms
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”), without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the website shall be subject to the exclusive jurisdiction of the courts of Hong Kong. You agree to submit to the jurisdiction of the Hong Kong courts and waive any objection to venue.
Force Majeure
UPEP shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, war, or other force majeure events.
Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable under the laws of any jurisdiction, such finding shall not affect the legality, validity, or enforceability of the remaining provisions or the same provision under other jurisdictions.
No Waiver
UPEP’s failure to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement
These Terms constitute the entire agreement between you and UPEP. UPEP shall be entitled to enforce these Terms on its own behalf and for and on behalf of the benefit of its affiliated entities.
Rights of Third Parties
Apart from UPEP’s affiliated entities who shall be entitled to enforce these Terms, nothing in these Terms shall confer on any third party any right or benefit under the provisions of the Contracts (Rights of Third Parties) Ordinance (Chapter 623 of the laws of Hong Kong).
